What is an Angel Investor?
An angel investor is a high-net-worth individual who provides capital to startups and early-stage companies, usually in exchange for equity.
Unlike venture capital firms that invest institutional money, angels invest their own capital and typically focus on pre-seed and seed-stage companies—often the riskiest and most rewarding phase of a startup’s journey.
Becoming an Angel Investor in Canada
Because most early-stage opportunities are exempt market securities, Canadian securities regulations (National Instrument 45-106) require investors to qualify as accredited investors in order to participate without restriction.
Accredited Investor Criteria in Canada
To qualify as an accredited investor (individually or jointly with a spouse/common-law partner), you must meet at least one of the following thresholds (all figures in CAD):
• Net income exceeding $200,000 ($300,000 joint) in each of the two most recent years, with a reasonable expectation of exceeding that level in the current year
• Net assets exceeding $5 million (individually or jointly)
• Financial assets (cash, securities, etc.) exceeding $1 million (individually or jointly), excluding the primary residence
These thresholds exist to ensure investors have the financial capacity and sophistication to assume the significant risks of early-stage investing—where 70–90% of startups ultimately fail.
While accreditation opens the door, the most effective angels typically have:
• High risk tolerance and patience—returns are illiquid and may take 5+ years (or never materialize)
• Entrepreneurial or industry experience that helps them evaluate opportunities and add real value beyond capital
• Strong networks for sourcing deals, performing due diligence, and supporting portfolio companies
• Meaningful investment capacity—most active angels write cheques of $15,000–$100,000+ per deal, often participating in syndicates to spread risk and increase impact
